These Terms govern use of the Dubai marketplace by visitors, buyers, and sellers (including brokers and agencies). Please read them carefully before using our platform.
1. Acceptance of Terms
By accessing or using Dubai ("the Service"), operated by Dubai Marketplace FZ-LLC ("we", "us", "our"), a free-zone limited liability company incorporated and operating in the United Arab Emirates, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Dubai Marketplace FZ-LLC. If you do not agree to these Terms in their entirety, you must not access or use the Service in any manner.
These Terms supplement, and should be read in conjunction with, applicable UAE law, including Federal Decree-Law No. 14 of 2023 on Trade by Modern Technological Means (the "E-Commerce Law") and Federal Decree-Law No. 45 of 2021 on Personal Data Protection ("PDPL"). Where any provision of these Terms conflicts with mandatory provisions of applicable UAE law, the relevant UAE law provision shall prevail to the extent of the conflict.
Your continued access to or use of the Service after any modification to these Terms constitutes your acceptance of the modified Terms. We recommend that you regularly review these Terms to remain informed of any changes.
2. Eligibility
You must be at least 18 years of age and possess full legal capacity under UAE Federal Law No. 5 of 1985 (Civil Transactions Law) to enter into binding agreements in order to use the Service. By registering or using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of a legal entity, you further represent and warrant that you are duly authorised to bind that entity to these Terms, and references to "you" in these Terms shall apply to that legal entity.
Brokers, real estate agents, and agencies operating in the Emirate of Dubai must hold a valid trade license issued by the Dubai Department of Economy and Tourism (DET) and, where required by applicable law and regulation, a valid registration with the Dubai Real Estate Regulatory Agency (RERA). By registering as a broker or agency on the Service, you represent and warrant that all required licences and registrations are current, in good standing, and will remain so throughout your use of the Service. You must promptly notify us if any required licence or registration lapses, is suspended, or is revoked.
We reserve the right to verify your eligibility at any time and to suspend or terminate your account if we have reasonable grounds to believe that any representation you have made is inaccurate or has ceased to be true.
3. Accounts
To access certain features of the Service, you must register for an account by providing accurate, complete, and current information as requested in the registration form. You agree to maintain the accuracy of your registration information and to promptly update it whenever it changes. Accounts created using falsified, incomplete, or misleading information may be suspended or permanently terminated without notice.
You are solely responsible for safeguarding the confidentiality of your account credentials, including your password, and for all activities that occur under your account, whether or not authorised by you. You must immediately notify us at support@example.com if you become aware or reasonably suspect that your account credentials have been compromised, or that any unauthorised access to or use of your account has occurred or is likely to occur. We will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.
Each natural person may maintain only one personal account. Legal entities may maintain one account per registered business. Creating multiple accounts to circumvent restrictions, bans, or usage limits is a material breach of these Terms and may result in permanent termination of all associated accounts.
We may, at our discretion, require additional verification (including identity verification in accordance with our Know Your Customer procedures, and verification of professional licences) before permitting access to certain features of the Service, including but not limited to listing publication and wallet operations.
4. Listings
The Service allows registered sellers, including individual owners, brokers, and agencies, to publish listings for properties, vehicles, employment opportunities, and other categories as made available by Dubai from time to time (each a "Listing"). By publishing a Listing, you represent and warrant that: (a) you have the legal right or authority to offer the item or service described; (b) all information contained in the Listing is accurate, truthful, and not misleading; (c) the Listing complies with all applicable UAE laws, regulations, and licensing requirements; and (d) the Listing does not infringe the intellectual property rights of any third party.
Brokers and agencies publishing real estate Listings must display their valid RERA registration number in a manner that is clearly visible within the Listing, as required by RERA regulations. Failure to display accurate licence information may result in immediate removal of the affected Listings and suspension of your account. Vertical-specific listing requirements are set out in our Listing Policy, accessible at /policies/listing, which is incorporated into these Terms by reference.
We reserve the right to review, reject, remove, or modify any Listing at any time and without prior notice if we determine, in our sole discretion, that the Listing violates these Terms, our policies, applicable law, or the rights of any third party. We do not guarantee that any Listing will remain published for any particular period, and we are not liable for any loss arising from the removal of a Listing. You may appeal a Listing removal decision in accordance with our Appeal Policy.
Duplicate Listings — that is, multiple substantially identical Listings for the same item or property — are prohibited. We may remove duplicate Listings and may limit the number of active Listings per account. Listings must be kept current and accurate; you must remove or update a Listing promptly once the underlying item or service is no longer available.
5. Fees, Wallet, and Tax Invoices
Access to certain features of the Service, including enhanced Listing visibility, subscription services, video-call minutes beyond your included allocation, and promotional tools, is subject to fees. All fees are denominated and payable in UAE Dirhams (AED).
The Service operates a prepaid digital wallet ("Wallet") for each registered account. You may top up your Wallet balance using the payment methods made available in the Service from time to time. Wallet credits constitute a prepaid balance against future purchases of paid features on the Service; they do not constitute a financial instrument, deposit, or store of value for any other purpose. Wallet credits are non-transferable between accounts.
Value Added Tax (VAT) at the rate of 5% is applied to all taxable supplies made through the Service in accordance with UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax and its Executive Regulations. The applicable VAT amount is displayed at the time of purchase and included in the total amount charged to your Wallet. We issue tax-compliant VAT invoices for all taxable transactions through the Service, which are accessible in your account billing history.
Fees charged to your Wallet are generally non-refundable, except: (a) as expressly set out in our Refund Policy, which is incorporated into these Terms by reference; or (b) as required by applicable UAE law, including the UAE Consumer Protection Law (Federal Law No. 15 of 2020). Any refund due will be credited to your Wallet or, at our discretion, returned via your original payment method. We are not responsible for any foreign exchange losses arising from currency conversion by your payment provider.
6. Subscriptions
Dubai offers subscription plans ("Subscriptions") that grant access to a defined bundle of features for a recurring billing period (monthly or annual, as selected at the time of purchase). Each Subscription tier includes a specified number of video-call minutes per billing period, as described in the relevant plan details at the time of purchase. Unused included minutes expire at the end of each billing period and do not roll over.
If you use video-call minutes beyond your Subscription's included allocation, the excess will be charged to your Wallet at the per-minute overage rate applicable to your Subscription tier, as displayed in the Service. You are responsible for ensuring that your Wallet maintains a sufficient balance to cover overage charges. If your Wallet balance is insufficient to cover overages, we may interrupt or suspend video-call functionality until your balance is replenished.
Subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel before the renewal date. You may cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to Subscription features until that date. We do not provide pro-rated refunds for unused time remaining in a billing period following cancellation, except as required by applicable UAE law. Price changes to Subscription plans will be communicated to you at least 30 days in advance of taking effect, and your continued use of the Subscription after the effective date of a price change constitutes your acceptance of the new price.
7. Video Calls and Real-Time Translation
The Service provides a video-call feature ("Video Calls") to facilitate direct communication between buyers and sellers in connection with Listings. Video Calls are provided as a communication tool only; we are not a party to any negotiation, transaction, agreement, or arrangement discussed or concluded during a Video Call, and we make no representations or warranties as to the content, accuracy, or reliability of any statements made during a Video Call.
By default, Video Calls are not recorded by Dubai. Where any recording or AI-processing feature is enabled (including real-time speech translation), both parties will be presented with a clear disclosure and must provide their affirmative consent before such processing commences. Your consent is logged and may be relied upon as evidence of agreement to the relevant feature. You may withdraw consent at any time by ending the call or disabling the relevant feature, where technically feasible.
Real-time translation is provided for facilitation purposes using AI-powered systems. While we endeavour to provide accurate translations, machine translation is inherently imperfect and may contain errors. You should not rely solely on machine-translated content for legally significant decisions. We disclaim all liability for errors or omissions in machine-translated content to the maximum extent permitted by applicable UAE law.
Both parties to a Video Call are responsible for their own conduct during the call. Recording a Video Call using external means without the consent of all participants may violate applicable UAE law and is strictly prohibited.
8. User Conduct
You agree to use the Service only for lawful purposes and in a manner consistent with these Terms and all applicable UAE laws and regulations. The following conduct is expressly prohibited on the Service:
You must not engage in or facilitate any unlawful activity, including but not limited to fraud, money laundering, financing of terrorism, or any activity prohibited under UAE Federal Law No. 7 of 2014 on Combating Terrorism Offences, UAE Federal Law No. 20 of 2018 on Anti-Money Laundering, or any other applicable law.
You must not harass, threaten, impersonate, or abuse other users of the Service in any manner. You must not publish or transmit content that is defamatory, obscene, pornographic, harmful to minors, or that constitutes blasphemy, insults to religion, or offences against public morals as defined under UAE Federal Decree-Law No. 34 of 2021 on Combating Rumours and Cybercrimes.
You must not upload, post, or transmit spam, unsolicited commercial communications, pyramid schemes, or any content designed to deceive users. You must not engage in screen-scraping, data-mining, or automated access to the Service without our prior written consent.
You must not infringe the intellectual property rights, privacy rights, or other legal rights of any third party. You must not publish content that contains malware, viruses, or other harmful code. You must not attempt to gain unauthorised access to any part of the Service or its underlying systems.
A full list of prohibited conduct is set out in our Acceptable Use Policy ("AUP"), which is incorporated into these Terms by reference. Violations of the AUP may result in immediate suspension or termination of your account.
9. Intellectual Property
You retain ownership of all content that you submit, publish, or upload to the Service ("Your Content"), including Listing text, photographs, videos, and other materials. By submitting Your Content to the Service, you grant Dubai Marketplace FZ-LLC a non-exclusive, royalty-free, worldwide, sub-licensable, and transferable licence to use, reproduce, distribute, display, publish, translate, adapt, and otherwise process Your Content solely for the purposes of operating, providing, promoting, and improving the Service, including displaying Your Content to other users and processing it through AI systems to provide translation and other features.
You represent and warrant that you have all rights necessary to grant the licence described above, and that Your Content does not infringe the intellectual property rights or other legal rights of any third party.
All trademarks, service marks, logos, trade names, and branding elements associated with Dubai, as well as all software, code, databases, designs, and other proprietary materials underlying the Service ("Dubai IP"), are the exclusive property of Dubai Marketplace FZ-LLC or its licensors. Nothing in these Terms grants you any right to use Dubai IP except as strictly necessary to use the Service for its intended purpose. You must not reproduce, copy, distribute, modify, create derivative works of, or otherwise exploit Dubai IP without our prior written consent.
You acknowledge that the structure, organisation, and source code of the Service constitute valuable trade secrets and proprietary information of Dubai Marketplace FZ-LLC. You agree not to reverse-engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Service.
10. Content Moderation and Removal
We may review, moderate, remove, or restrict access to any content published on the Service, including Listings and user-generated materials, that we determine, in our sole and reasonable discretion, violates these Terms, our policies, or applicable UAE law, or that has been the subject of a valid complaint or legal order. We are not obligated to pre-screen all content published on the Service, but we reserve the right to do so.
Where we remove content, we will endeavour to notify you of the removal and the reason for it, except where we are prohibited from doing so by applicable law or where notification would compromise an investigation. You have the right to appeal any content removal decision by contacting support@example.com within 14 days of the removal, setting out the grounds for your appeal. We will review your appeal and communicate our decision within a reasonable time. Our Appeal Policy sets out the full procedure.
We cooperate fully with UAE authorities and comply with all lawful orders requiring the disclosure, preservation, or removal of content. We may also take action against content that we reasonably believe poses an imminent risk of harm, without waiting for a formal legal order.
11. Suspension and Termination
We may suspend or terminate your access to the Service, in whole or in part, immediately and without prior notice, if we reasonably determine that you have committed a material breach of these Terms, violated applicable UAE law, or engaged in conduct that endangers other users or the integrity of the Service. Material breach includes but is not limited to: fraud, impersonation, publishing prohibited content, operating without required licences, or accumulating a pattern of policy violations.
For less serious violations, we may issue a warning or apply temporary restrictions before resorting to suspension or termination. We will endeavour to notify you of any suspension or termination, along with the reason, unless notification is prohibited by applicable law or would compromise an ongoing investigation.
You may close your account at any time by following the account closure procedure in your account settings. Account closure takes effect upon confirmation. Following closure: (a) any unused Wallet balance may be refunded subject to our Refund Policy; (b) your active Listings will be removed; (c) your obligations arising from transactions completed prior to closure survive; and (d) we may retain your transactional, accounting, and tax records as required by applicable UAE law, including the Federal Tax Authority's requirements and UAE Federal Decree-Law No. 32 of 2021 on Commercial Companies, which typically mandate retention of commercial and financial records for a period of not less than seven (7) years.
Upon termination or expiry of your account, the licence granted to us in respect of Your Content continues to the extent necessary to fulfil our legal obligations, resolve disputes, and enforce our agreements.
12. Disclaimers
The Service, including all content, features, and functionality, is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, to the maximum extent permitted by applicable UAE law. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any Listing or other content published by users is accurate, complete, reliable, current, or fit for any particular purpose.
Dubai Marketplace FZ-LLC is a marketplace operator and is not a party to any transaction, agreement, or arrangement entered into between users of the Service. We do not act as a real estate agent, broker, motor vehicle dealer, employment agency, or in any other regulated capacity in connection with user-to-user transactions. We expressly disclaim any liability for the accuracy, quality, safety, legality, or availability of any item or service listed on the Service, or for the ability of sellers to complete a transaction or the ability of buyers to complete payment.
Users are solely responsible for conducting their own independent due diligence before entering into any transaction, including verifying the identity and licensing of the other party, inspecting the item or property in question, and obtaining independent legal, financial, or professional advice as appropriate. The information provided through the Service does not constitute legal, financial, investment, or professional advice.
13. Limitation of Liability
To the maximum extent permitted by the applicable laws of the United Arab Emirates, the aggregate liability of Dubai Marketplace FZ-LLC, its officers, employees, directors, agents, affiliates, and licensors, arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the greater of: (a) AED 1,000 (one thousand UAE Dirhams); or (b) the total fees actually paid by you to Dubai Marketplace FZ-LLC in the twelve (12) calendar months immediately preceding the event giving rise to the claim.
To the maximum extent permitted by applicable UAE law, in no event shall Dubai Marketplace FZ-LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business, loss of goodwill, or other intangible losses, arising out of or in connection with these Terms or your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable UAE law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Dubai Marketplace FZ-LLC, its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, actions, proceedings, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your access to or use of the Service; (b) Your Content; (c) your violation or alleged violation of these Terms or any applicable UAE law or regulation; (d) your violation of the rights of any third party, including intellectual property rights, privacy rights, or consumer rights; or (e) any transaction or dispute between you and another user of the Service.
We reserve the right, at our own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defences. You must not settle any claim subject to this indemnification obligation without our prior written consent.
15. Dispute Resolution
If you have a dispute or complaint arising out of or in connection with the Service or these Terms, please contact us in the first instance at support@example.com, providing full details of your complaint. We are committed to resolving disputes promptly and in good faith. We will acknowledge your complaint within five (5) business days and will endeavour to provide a substantive response within thirty (30) calendar days.
If your dispute cannot be resolved through our internal complaint-resolution process within thirty (30) calendar days of submission (or such longer period as may be agreed in writing), you and we agree that the dispute shall be exclusively submitted to the courts of the Emirate of Dubai for resolution. Both parties irrevocably submit to the exclusive jurisdiction of the Dubai Courts and waive any objection to the laying of venue in those courts.
Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a competent court pending the resolution of a dispute, where such relief is necessary to prevent irreparable harm.
Notwithstanding the foregoing, if you are a consumer within the meaning of the UAE Consumer Protection Law (Federal Law No. 15 of 2020), you may also have the right to refer your complaint to the UAE Ministry of Economy's Consumer Protection Department or other relevant regulatory authority.
16. Governing Law
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and, to the extent applicable, the laws and regulations of the Emirate of Dubai. The Dubai Courts shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject only to the dispute resolution procedure set out in Section 15 above.
Where UAE federal law does not address a particular matter, the general principles of Islamic Sharia as applied by UAE courts and the principles of the Civil Transactions Law (Federal Law No. 5 of 1985) shall apply as appropriate.
17. Changes to These Terms
We may update, modify, or replace these Terms at any time. If we make changes that we consider material, we will provide you with at least fourteen (14) days' advance notice before the modified Terms take effect. Such notice will be given by one or more of the following means: an in-app banner displayed upon your next login, an email sent to the address associated with your account, or a notice posted on our website.
Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of the modified Terms in their entirety. If you do not agree to the modified Terms, you must stop using the Service and may close your account before the effective date. Non-material changes (such as typographical corrections, clarifications that do not alter the substance of your rights or obligations, and updates to contact information) may be made at any time without advance notice.
We maintain an archive of prior versions of these Terms, which is available upon request at legal@example.com. The version number and effective date at the top of this document indicate which version you are reading.
